Terms of Service

These Terms of Service (“Terms”) govern access to and use of the platform, APIs, and services (“Services”) provided by Case Health AI, Inc. (“Case Health AI,” “we,” “us,” or “our”). By accessing or using our Services, you (“Client,” “you,” or “your”) agree to be legally bound by these Terms. If you are entering into this agreement on behalf of an entity, you represent that you are authorized to bind that entity.

1. Eligibility and Account Access

You must be a legally registered organization or authorized representative to use our Services. You are responsible for maintaining the confidentiality of access credentials, ensuring your authorized users follow these Terms, and promptly notifying us of any unauthorized use or breach of security.

Subject to your compliance with these Terms, Case Health AI grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services solely for internal business operations. You may not:

3. Data Processing and HIPAA Compliance

Where applicable, we act as a Business Associate under HIPAA and will enter into a Business Associate Agreement (BAA) with you. You are responsible for ensuring that any data you submit, transmit, or process via our APIs complies with all applicable laws and regulations, including HIPAA, state privacy laws, and internal corporate policies.

4. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance and emergency downtime may occur. We are not liable for delays, service interruptions, or data loss caused by force majeure, third-party providers, or your systems.

5. Intellectual Property

All intellectual property rights in our platform, APIs, documentation, and software remain the sole property of Case Health AI. No rights are granted except as expressly stated. Client data remains the property of the Client. You agree not to remove or alter any proprietary notices or branding.

6. Fees and Billing

Access to certain Services may be subject to subscription or usage-based fees. You agree to pay all charges according to your plan, including overages. Late payments may incur interest and/or result in service suspension. All fees are non-refundable unless stated otherwise in a signed agreement.

7. Confidentiality

Both parties agree to maintain the confidentiality of non-public information, including but not limited to system architecture, source code, client data, business practices, and pricing terms. This obligation survives termination of these Terms.

8. Indemnification

You agree to indemnify and hold harmless Case Health AI and its affiliates, directors, officers, and employees from any claims, damages, liabilities, or costs (including attorney’s fees) arising out of your use of the Services, your violation of these Terms, or any data submitted to our systems.

9. Limitation of Liability

To the fullest extent permitted by law, Case Health AI’s liability is limited to direct damages not exceeding the total amount paid by you for the Services in the six (6) months preceding the claim. We are not liable for any indirect, incidental, special, or consequential damages including loss of data, revenue, or business opportunities.

10. Term and Termination

These Terms remain in effect until terminated by either party. You may terminate at any time by ceasing use of our Services. We may terminate access if you breach these Terms, violate the law, or pose a security risk. Upon termination, all rights granted under these Terms immediately cease, and you must delete any API credentials or data retrieved via our Services.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [Your State], without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in [City, State], unless otherwise mutually agreed.

12. Modifications to Terms
